The New York State Society of Certified Public Accountants (NYSSCPA) is seeking a Legal Counsel. The ideal candidate for this position should be an experienced, take charge professional with the ability to manage the legal function for an active and prominent professional Society. This person must be able to anticipate and manage risks, meet deadlines, stay abreast of not for profit and employment law, and manage internal and external relationships.
The NYSSCPA aims to educate, connect, and grow our membership within the CPA profession. Since our inception in 1897, CPAs and financial professionals have achieved great success in their careers through our membership and programs. Today, our membership population consists of 26,000+ CPAs, lawyers, bankers, and other professionals from associated industries, and we have a staff of approximately 55 employees.

Primary Purpose of Position: This position oversees the legal matters of the New York State Society of CPAs (NYSSCPA) and its related entities (the Organization), advises the CEO/Board on organizational and operational risk issues, assures compliance with the NY State not-for-profit law, as well as state, federal and city employment laws; and also oversees the governance functions of the Organization. The position works in conjunction with external legal counsel, as appropriate.
Responsible for analysis and interpretation of general business and legal contracts for the Organization. Drafts and reviews agreements, contracts, and other legal documents to ensure the Organization's legal rights. Oversees governance functions of the Organization to ensure compliance with the Organization's bylaws and Federal and New York State not-for-profit law. Ensures conformity with Federal, NY State and NYC employment laws. Monitors compliance with internal governance policies. Oversees the risk management and compliance activities of the Organization and assists in the development of related legal policies and other initiatives to manage risk and compliance. Provides accurate and timely counsel to the Organization's senior management on a variety of topics including employment law, not-for-profit law, liability risk, etc. Drafts and updates corporate documents including affiliation agreements, bylaws, etc. Acts as resource for board of directors and senior management providing advice on all aspects of the not for profit legal sector. Oversees activities related to the Political Action Committee including compliance with filing lobbying reports.
Knowledge and Skills
Proven experience as a legal counsel in a not-for-profit environment with knowledge of 501(c)(3), 501(c)(6) and 527 entities. Strong regulatory/compliance legal expertise within the not-for-profit sector. Strong analytical, problem solving, and strategic thinking skills. Overall broad legal knowledge (corporate law, litigation, labor law, etc.). Effective project management, supervisory, presentation and communication (written and oral) abilities. High degree of professional ethics and integrity.
Juris Doctor degree required. Admitted to the New York bar.
Supervisory Responsibility This position has two direct reports.
Work Environment This job operates in a professional office environment. This role routinely uses standard office equipment such as laptop computers, photocopiers and smartphones.
Position Type/Expected Hours of Work This is a part-time position. Days and hours of work are to be determined. Occasional evening and weekend work may be required as job duties demand.
